Senior Associate / Counsel - Corporate & Finance

About the Firm:
Our client, a prestigious international Law Firm with a strong presence in the Asia-Pacific region is looking for a highly potential Senior Associate or Counsel to join their Corporate and Finance team to work on Projects and M&A.



Key Responsibilities:

• Lead and manage M&A transactions from inception to completion, ensuring compliance with Vietnamese and international legal standards.
• Draft, review, and negotiate principal transaction documents, including SPAs, JV agreements, EPC contracts and other related contracts.
• Conduct and oversee comprehensive due diligence processes, identifying potential risks and providing strategic advice to clients.
• Mentor and guide junior colleagues, fostering their professional development and ensuring quality and efficiency in project delivery.
• Collaborate with cross-functional teams to provide integrated legal solutions that align with client objectives.
• Stay abreast of legal developments and industry trends, particularly in the energy sector, to provide proactive and informed counsel.
• Contribute to business development initiatives, leveraging your entrepreneurial skills to expand the firm’s client base and enhance its market presence.
  
  Qualifications:
• At least 8 years years of practice in 1st Tier or international firms
• Qualified practionner of Law in Vietnam
• Full proficiency in English and Vietnamese
• Strong track records of deals in Energy or Real Estate with a focus on M&A transactions.
• Excellent drafting, negotiation, and communication skills.
• Demonstrated leadership abilities, with experience in managing and developing junior team members.
• Ambitious, entrepreneurial mindset with a supportive and collaborative approach.
