About the Senior Associate / Counsel Role

A Top Tier Law Firm is looking for a Vietnamese senior Lawyer, Senior Associate or Counsel level, to join their Ho Chi Minh City offie.

You will report directly to the Partners. In general, overseeing all areas of practice and supporting the activities of junior Associates / Legal Assistants to deal with all legal issues raised by clients.

Key Responsibilities

• Advising clients on Real Estate and/or Corporate M&A matters, including acquisitions, disposals, joint ventures, project development, corporate restructuring, investment transactions and related regulatory matters.

• Drafting, reviewing and negotiating transaction documents, conducting legal due diligence, preparing legal advice, legal opinions, transaction structuring advice and all related legal documentation.

• Assisting clients in liaising and working with the relevant authorities to seek related information and handle regulatory and licensing issues.

• Managing client caseloads in collaboration with the team and ensuring that all legal deliverables (including advice, assistance, reports, information and representation work) meet all regulated requirements and are of high quality before submission to Counsels/Partners for review.

• Providing advice, guidance and mentoring to junior Associates / Legal Assistants to ensure they approach their work with professionalism and due care, while maintaining the good reputation of the firm.

• Supporting business development initiatives and maintaining strong relationships with clients and stakeholders.

• Other tasks as required by upper-managerial positions on a case-by-case basis.

Key Requirements

• A minimum of 7 years of practice in Top-Tier local or international Law firms with stable tenure are a must (at least 4 years in each firms). Shorter tenure or lower tier will not be prioritised.

• Bachelor of Laws degree and Vietnamese Lawyer Practising Certificate are mandatory.

• Overseas studies are preferred.

• Strong experience advising on Real Estate transactions and/or Corporate M&A matters.

• Experience handling complex transactions, due diligence exercises and cross-border matters is highly preferred.

• Strong proficiency in both English and Vietnamese.

• Excellent drafting, communication and client management skills.
