Mid-level/Senior Associate (Foreign Qualified)

Our client is a leading international law firm with a well-established presence in Vietnam, advising multinational corporations, financial institutions, private equity funds, and project sponsors on some of the country's most significant cross-border transactions. Due to continued growth, the firm is seeking a Mid-level to Senior Associate to strengthen its Corporate, M&A, and Projects practice.

What you'll do

• Advise multinational clients, private equity funds, and strategic investors on cross-border M&A, joint ventures, restructurings, and foreign investment transactions.
• Lead and manage legal due diligence, transaction structuring, drafting, negotiation, signing, and closing processes for complex transactions.
• Draft, review, and negotiate a wide range of transaction documents, including share purchase agreements, shareholders' agreements, joint venture agreements, investment agreements, and commercial contracts.
• Advise clients on project development, project finance, infrastructure, energy, and renewable energy projects throughout the project lifecycle.
• Provide legal advice on foreign investment, corporate governance, licensing, regulatory compliance, and general corporate matters under Vietnamese law.
• Coordinate closely with international offices, clients, financial advisers, technical consultants, and government authorities on cross-border transactions.
• Support business development initiatives, prepare client updates, and contribute to legal publications and seminars.
• Supervise and mentor junior lawyers while managing multiple transactions in a fast-paced international environment.

What you bring

• Foreign-qualified lawyer with approximately 6+ years PQE gained at a leading international law firm or top-tier practice.
• Vietnamese language capability is strongly preferred to effectively advise local stakeholders and review Vietnamese law matters.
• Strong experience in Corporate/M&A, foreign investment, joint ventures, and cross-border transactions.
• Exposure to projects, project finance, infrastructure, energy, or renewables is highly desirable.
• Excellent drafting, negotiation, and transaction management skills.
• Strong commercial mindset with the ability to provide practical, business-oriented legal advice.
• Proven ability to independently manage client relationships and lead transactions.
• Excellent English communication skills; Vietnamese language proficiency is a significant advantage.
• Strong interpersonal skills and the ability to work effectively within international and cross-functional teams.
